Shareholder Rights Directive II – Pricing Disclosure

Global Custody

In line with article 3d of Directive (EU) 2017/828, the Shareholder Rights Directive II (SRD II), this disclosure outlines the standard fees charged by BNP Paribas Securities Services, when acting as an “Intermediary” under SRDII, for services related to identification of shareholders, transmission of information and facilitation of exercise of shareholder rights.

The costs associated to the provision of these services are, in most cases, included within our safekeeping/assets under custody fees. Existing clients’ fee schedules will not be affected by this disclosure.

Fees for the services covered by Chapter Ia of SRD II are outlined below:

  1. Identification of shareholders – any request to disclose shareholders’ information does not incur additional fees
  2. Transmission of information and facilitation of exercise of shareholder rights 

II. corporate events other than general meetings
The announcement and processing of corporate events, other than general meetings, does not incur additional fees.

II. general meetings
The announcement of general meetings and processing of votes will incur additional fees (expressed in euro by applied in the client’s preferred currency):

These fees include local market proxy voting costs, such as registration fees.

The exact fees charged in respect of the provision of general meeting services will be agreed with each client, based on volumes and taking into account any requirement for customised solutions or non-standard services.

The terms and conditions governing the charging and payment of such fees will be documented in the client agreement and ancillary documentation between the client and BNP Paribas Securities Services. 

All fees disclosed in this document may be subject to change going forward.  

Local Custody

The information contained in this document applies to all clients subscribing to our local custody product in the following locations: Austria, Belgium, Cyprus, France, Germany, Greece, Hungary, Ireland, Italy, Netherlands, Poland, Portugal, Spain and the UK.
